Responsibilities

:

  • Supporting CI’s global consultancy business, including serving as the primary point of contact and liaison for any legal issues relating to this business, negotiating key client contracts, developing new template documents, and delivering training to the consultancy business teams on new terms and policies.
  • Negotiating, drafting, and advising onmercial contracts, including exchange licenses, strategic collaboration agreements, service agreements, distribution agreements, channel agreements, customer contracts, vendor contracts, software licenses, amendments, order forms, consultancy agreements and marketing agreements.
  • Delivering legal and best practice training to the business
  • Advising the business on important legal issues facing the CI business, including antitrust, regulatory, data protection and privacy, intellectual property, and trade secrets’ law.
  • Ensuring that thepany’s intellectual property and general practices are protected, and liability and risk exposure are mitigated. Assisting with managing CI’s trademark and patent portfolio.
  • Providing legal support on M&A transactions (such as due diligence, reviewing transaction documents)
  • Advising on corporate matters relating to CI’s legal entities, such as corporate reorganizations and intepany arrangements
  • What We’re Looking For:

  • Law degree. Qualified as a lawyer in England and Wales or the US or othermon law jurisdiction.
  • 2-5 years of PQE either in-house or at a major law firm practicingmercial law.
  • Experience in providing support and advice to a consultancy business or global,mercial business.
  • Ability to work independently while being a team player who brings a positive attitude to the workplace and works collaboratively across functions and departments.
  • Requires a practical, business-oriented approach to problem-solving and effectively counsel internal clients by providing them with clear, concise, and pragmatic advice and creative solutions where necessary to meet their business needs.
  • Strategic with an ability of instilling trust and confidence in cross-functional and cross-divisional team members and stakeholders
  • Strong working knowledge of contract, intellectual property law and an understanding of the international laws of the jurisdictions. This includes protection of copyright and other proprietary rights, data privacy, warranties, indemnification, disclaimer of liability and information reuse provisions
  • Excellent organizational and oral and writtenmunication skills; ability to think outside of the box.
